Please be aware that Albion Engineering Company has been in business for over eighty years, and with employs - many talented, innovative and experienced individuals. Most of the ideas which are new and useful to us come from our employees. Many outside suggestions, as well as suggestions from our employees, are in our files for future use or development, or have already been tried or exhausted. However, if you believe you have a new and unique idea that we could use, we would like you to tell us about it.

Any suggestions you submit to us will be reviewed by our management staff. If we decide to use on of your suggestions, we may, but are not obligated to, provide you with recognition in some fashion. Any such recognition will be given in our sole discretion.

In addition to the other terms and conditions of this Agreement, when submitting a suggestion to us, you represent and agree as follows:

• All rights, title and interest, including all intellectual property rights, to anything you submit to us are hereby assigned by you to us, and you agree to execute any documents reasonably requested by us to effectuate such assignment.
• Anything you submit to us is not confidential and we have no duty or obligation to hold it in confidence. You understand that we may disclose your suggestion to our employees or other parties if, in our sole opinion, such disclosure is necessary to properly evaluate, develop, commercialize, market and sell the subject matter of your suggestion, and you agree to release any indemnify us from any and all liability in connection with any such disclosure.
• You are not aware that any aspect of the subject matter of your suggestion is owned or claimed to be owned by a third party or that any aspect of the subject matter of your suggestions infringes any intellectual or proprietary rights of any third party.
• You are not aware that any aspect of the subject matter of your suggestion has been publicly used or disclosed, or has otherwise entered the public domain.
• You are not one of our employees, representatives or agents. Our employees, representatives and agents are not eligible to submit suggestions pursuant to this Agreement.
• Any recognition of you by us, should we choose in our sole discretion to recognize you, is accepted by you in full consideration of your suggestion.
• You do not rely, in submitting your suggestion, on any expectation, understanding, prior communication, or contract with us that you that believe is express or implied, and you understand that only the terms written in this Agreement apply to the submission of your suggestion. You acknowledge that the submission of your suggestion does not give rise to any type of agreement between you and us concerning your suggestion, except as specifically set forth herein.
  
• You are at least eighteen (18) years of age.
  
• To the extent that the terms of our web site Privacy Statement, Terms of Use, and/or any other statements, policies or agreements applicable to the use of our web site differ from the terms of this Agreement, the terms of this Agreement shall apply and shall be controlling.

This Agreement is entered into in the State of New Jersey. This Agreement, and any dispute arising under or in connection with it, shall be interpreted under the laws of the State of New Jersey (excluding conflicts of law principles). You agree to submit to the exclusive jurisdiction of the state and federal courts of the State of New Jersey with respect to any dispute arising out of or related to this Agreement or any submission to us of a suggestion by you. No joint venture, partnership, agency, or employment relationship exists between Albion Engineering Company and you by virtue of your submitting a suggestion and entering into this Agreement.
